Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and MMIMS LLC ("we", "us"), the provider of BidPathAI (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Account

You must be of legal age and authorized to accept these Terms on behalf of yourself or the business you represent. You are responsible for the accuracy of your account information, keeping it current, and safeguarding your credentials. You are responsible for all activity under your account.

2. The Service

BidPathAI is a software service that helps government contractors analyze solicitation documents, generate proposal outlines and compliance matrices, draft proposal sections with AI assistance, and export proposal packages for internal review. The Service is intended for lawful federal, state, and local government contracting activities.

Not authorized for classified information or CUI. BidPathAI is not FedRAMP authorized and is not approved to store, process, or transmit classified information or Controlled Unclassified Information (CUI). Do not upload such content.

3. Subscription, Trial & Billing

The Service is offered on four plans: Solo — $149 USD/month (1 user; 10 solicitation packages per billing month; up to 2 company profiles), Growth — $499 USD/month (up to 5 users; 40 solicitation packages per billing month; up to 10 company profiles; priority email support), Team — $1,499 USD/month (up to 10 users; 150 solicitation packages per billing month; managed onboarding via Contact Sales), and Commercial — starting at $4,000 USD/month (custom user and usage limits; custom agreement via Contact Sales). Solo and Growth subscribers receive a 14-day free trial that allows up to 3 solicitation packages when self-service checkout is enabled. A payment method is required to start the trial. You will not be charged until the trial ends, and you may cancel before the trial ends to avoid the first charge. After the trial, the plan renews automatically each month at the price shown at checkout until you cancel. Team and Commercial are managed plans with terms established in a signed order.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides customer service inquiries for billing and handles refunds. Payment terms, taxes, and invoicing are governed by Paddle's Buyer Terms. Cancellation and refund mechanics are described in our Cancellation & Refund Policy.

4. Your Content

You retain ownership of solicitation documents, company information, proposals, and other content you upload or generate ("Your Content"). You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely to provide and improve the Service to you. You represent that you have the rights necessary to submit Your Content and that it does not violate any law or third-party right.

5. AI-Assisted Content

The Service uses artificial intelligence to analyze solicitations and assist with proposal drafting. AI outputs may contain errors, omissions, or incorrect interpretations. You are solely responsible for reviewing, verifying, and approving all content before submission to any government entity. We do not guarantee proposal compliance, responsiveness, evaluation outcomes, acceptance, or contract award. See our AI Disclaimer for details.

6. No Professional Advice

The Service does not provide legal, accounting, financial, procurement, or contracting advice. Consult qualified professionals for advice specific to your situation.

7. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy. You must not misuse the Service, including unlawful use, fraud, spam, IP infringement, malware, probing, scraping, reverse engineering, circumventing usage limits or paywalls, or accessing another user's data. You must not use the Service to submit knowingly false business claims.

8. Availability, Suspension & Termination

The Service is provided "as is" and "as available" without warranty of uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations.

9. Effect of Cancellation

You may cancel at any time. Paid access continues through the paid-through date. After paid access ends, your existing work becomes read-only for 30 days. During that window, you may view and download existing documents; new uploads, AI analysis, proposal generation, and new exports are blocked. After the read-only window, we may remove or anonymize your content subject to our Privacy Policy and legal record-keeping obligations.

10. Intellectual Property

We retain all rights, title, and interest in the Service, including software, documentation, models, branding, and derivative improvements. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes within your plan.

11. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or contract awards. Our aggregate liability to you for any claim arising out of or related to the Service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under applicable law, including for fraud or personal injury.

12. Indemnity

You will indemnify and hold us harmless from claims arising out of Your Content, your unlawful use of the Service, or your breach of these Terms.

13. Data Retention & Account Deletion

You may request account deletion from your Account page. Retention details are described in the Privacy Policy.

14. Governing Law & Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Disputes will be brought in the state or federal courts located in Columbia County, Georgia, and each party consents to personal jurisdiction and venue there, except where mandatory consumer protection law requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Material changes are announced in-app or by email. When we bump the Terms version, we will ask you to re-accept before you continue using the Service.

16. Assignment & Miscellaneous

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the remainder remains in effect.
